1. Acceptance of Terms

By creating an account, accessing, or using the LegalMind Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and LegalMind.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility and Geographic Restrictions

2.1 Age Requirement

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

2.2 United States Only

The Service is available exclusively to users physically located within the United States. You represent and warrant that:

• You are physically located in the United States when accessing the Service
• You will not attempt to access the Service from outside the United States
• You will not use VPNs, proxies, or other methods to circumvent geographic restrictions
• You understand that registration or access from outside the United States is prohibited

We reserve the right to verify your location and deny access or terminate accounts that violate this geographic restriction.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your account with others or allow others to access your account.

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or applicable laws.

3.4 Subscriptions and Payment

LegalMind offers the following subscription options:

• Free Tier: Limited access to features with daily usage limits
• Professional: Monthly or annual subscription with enhanced features
• Premium: Monthly or annual subscription with unlimited access
• Lifetime Membership: One-time payment for permanent access (see Section 3.5 below)

Subscription payments are processed securely through our payment processor. By subscribing, you agree to:

• Provide accurate payment information
• Authorize recurring charges for monthly/annual subscriptions
• Understand that subscription fees are non-refundable except as required by law
• Accept that we may modify pricing with 30 days' notice to active subscribers

3.5 Lifetime Membership Terms

The Lifetime Membership offers permanent access to Premium features for a one-time payment. By purchasing a Lifetime Membership, you acknowledge and agree to the following terms:

3.5.1 What "Lifetime" Means

• "Lifetime" means for the duration that LegalMind operates as a service
• Access continues as long as we maintain the platform and service
• You will be grandfathered into new features as they become available
• No recurring payments or renewal fees

3.5.2 Service Discontinuation and Liability Waiver

3.5.3 What You Receive

• All Premium features available at time of purchase
• Automatic access to new features added after purchase
• Priority support
• No future price increases or additional fees (as long as service operates)

3.5.4 Non-Refundable Payment

Lifetime Membership purchases are final and non-refundable. By completing the purchase, you acknowledge that:

• You have read and understood these terms
• You accept the risk that the Service may be discontinued
• You waive any refund claims if the Service is discontinued
• This is a purchase for access "as-is" and "as-available"

3.5.5 Account Requirements

Lifetime Membership requires an active account and is:

• Non-transferable (cannot be sold or given to another person)
• Tied to your email address and account credentials
• Subject to termination if you violate these Terms of Service
• Not a guarantee of uninterrupted or error-free service

4. Acceptable Use and Restrictions

4.1 Permitted Use

The Service is provided for legal research and educational purposes. You may use the Service to:

• Research legal issues and case law
• Analyze legal documents
• Generate draft legal documents for review
• Search federal and state court cases

4.2 Prohibited Activities

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Access the Service from outside the United States
• Share, sell, or redistribute access to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers) without written permission
• Attempt to gain unauthorized access to our systems or networks
• Upload malicious code, viruses, or harmful content
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect user information without consent
• Use the Service to provide legal advice to others without proper licensing
• Rely solely on AI-generated content without independent verification

5. User Content

5.1 Your Content

You retain ownership of any documents, text, or other content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to:

• Store and process your User Content
• Use your User Content to provide the Service to you
• Generate AI responses based on your User Content

5.2 Responsibility for Content

You are solely responsible for your User Content and represent that you have all necessary rights to upload it. You warrant that your User Content does not:

• Infringe on intellectual property rights of others
• Violate any applicable laws or regulations
• Contain confidential information belonging to others without authorization

5.3 Document Retention & Deletion

Documents you upload are automatically deleted based on your subscription tier to protect your privacy:

• Free Forever Plan: Documents automatically deleted after 24 hours
• Essential & Pro Plans: Documents automatically deleted after 30 days

You may manually delete any document at any time from your Document History page. Once deleted, documents are permanently removed from our secure cloud storage and cannot be recovered.

5.4 Confidentiality

⚠️ Important: While we implement industry-standard security measures to protect your User Content, you should not upload highly sensitive or confidential information unless absolutely necessary. We strongly recommend reviewing documents for sensitive data before uploading.

6. Intellectual Property Rights

6.1 Our Rights

The Service and its original content, features, and functionality are owned by LegalMind and are protected by United States and international intellectual property laws. This includes:

• Software, code, and algorithms
• Design, graphics, and user interface
• Logos, trademarks, and branding
• Text, content, and documentation

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

6.3 Third-Party Content

Case law, court opinions, and other legal documents accessed through the Service are in the public domain or used under appropriate licenses. Such content remains subject to its original copyright status.

7. Disclaimers and Limitations

7.1 No Warranties

We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, completeness, or reliability of information
• Uninterrupted or error-free operation
• Security of data transmission or storage

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALMIND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

7.3 Third-Party Services

The Service may integrate with third-party services (AI providers, legal databases). We are not responsible for the availability, accuracy, or content of third-party services.

8. Indemnification

You agree to indemnify, defend, and hold harmless LegalMind and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your User Content
• Your infringement of any third-party rights

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

9.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Access from outside the United States
• Fraudulent or illegal activity
• Prolonged inactivity
• Request by law enforcement

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your User Content within 30 days of termination, except where retention is required by law.

10. Modifications to Service and Terms

10.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, without liability to you.

10.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through:

• Informal Resolution: First, contact us to attempt to resolve the dispute informally
• Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association rules
• Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class actions

11.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and LegalMind regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
